1. Definitions
In these Terms, the following definitions apply:
- "Account" means a user account registered with the Service.
- "AI-Generated Content" means any text, analysis, or response produced by the Service's artificial intelligence systems.
- "Applicable Laws" means all laws, regulations, and rules applicable to the relevant party, including the Australian Consumer Law.
- "Chat History" means the record of your queries and AI-Generated Content stored within your Account.
- "Chrome Extension" means the Lawg browser extension made available through the Chrome Web Store.
- "Company" means CoeusX Pty Ltd (ABN 19 689 184 361).
- "Legal Information" means information about Australian law, regulations, and tax matters provided through the Service, and does not constitute legal advice.
- "Personal Data" has the meaning given in the Privacy Act 1988 (Cth).
- "Prohibited Data" means: (a) protected health information; (b) financial account numbers; (c) Tax File Numbers; and (d) other sensitive personal information as defined in the Privacy Act 1988 (Cth).
- "Service" means the Lawg web-based legal information platform, the Chrome Extension, and all related features.
- "Third-Party Providers" means external service providers whose technology is integrated into the Service, including AI model providers, authentication services, and data infrastructure providers.
- "User Content" means queries, documents, or other data submitted by you to the Service.
2. Acceptance of Terms
These Terms of Service govern your access to and use of the Lawg web-based legal information service operated by CoeusX Pty Ltd (ABN 19 689 184 361) ("Company", "we", "us" or "our").
By accessing or using the Service, you ("User", "you" or "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, you must not access or use the Service.
We may update these Terms from time to time. If we do so, we will publish the revised version and update the "Last updated" date. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of those changes. Where changes are material, we will notify you by email or through the Service.
3. Eligibility and User Accounts
3.1 Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you satisfy this requirement.
3.2 Account Registration
Account creation is available through OAuth providers, including Google and Microsoft, or by email registration, powered by our authentication partner, Clerk.
- You must provide accurate, current, and complete information when registering for an Account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities carried out through your Account.
- You must notify us immediately if you become aware of any unauthorised access to your Account.
3.3 Account Restrictions
- You must not create multiple Accounts or share your credentials with any other person.
- You must not transfer or assign your Account without our prior written consent.
- We may suspend or terminate any Account that breaches these Terms.
4. Service Description
4.1 Nature of Service
Lawg provides AI-powered tax research and legal information support across key areas of Australian law and regulation, including:
- foreign investment and FIRB regulatory compliance;
- taxation law, including income tax, GST, FBT, and superannuation regimes;
- corporations law, including regulatory matters under the Corporations Act 2001 (Cth);
- ATO interpretative guidance, including public rulings and determinations (TR, TD, LCR and SMSFR);
- Australian case law, including decisions of the Federal Court, High Court, and state and territory courts; and
- Commonwealth, state, and territory legislation.
4.2 Chrome Extension
The Lawg Chrome Extension allows you to access certain Lawg functionality directly from your browser. Through the Chrome Extension, you may:
- highlight text on a webpage to receive AI-generated questions and answers relating to Australian tax and legal matters; and
- access Lawg without leaving your current webpage.
The Chrome Extension is subject to the same disclaimers and limitations that apply to the main Service. By installing or using the Chrome Extension, you agree to these Terms.
4.3 Licence Grant
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for your personal use or internal business purposes.
4.4 Geographic Scope
The Service provides information specific to Australian legal and regulatory frameworks. The information may not be applicable in other jurisdictions.
4.5 Service Disclaimer
Lawg is not a legal, tax, financial, or compliance advice service. Any information generated by Lawg is general in nature only and is intended to support professional research and understanding. It does not take into account your specific circumstances and must not be relied on as a substitute for independent professional judgment or professional advice.
You remain solely responsible for:
- verifying all outputs against original source materials;
- assessing the relevance, accuracy, completeness, and applicability of any information; and
- complying with all applicable professional, ethical, and regulatory obligations.
5. Artificial Intelligence and Third-Party Services
5.1 AI Technology
The Service uses large language models and related artificial intelligence technologies to generate responses. The specific models and technologies used may change from time to time as we improve the Service.
5.2 Third-Party Service Providers
The Service uses trusted Third-Party Providers to support its operation. Your data may be transmitted to those providers only to the extent reasonably necessary to provide the Service, including:
- OpenAI — for AI model inference and text embeddings;
- Pinecone — for vector database functionality and document access;
- Cohere — for relevance ranking and optimisation;
- Clerk — for user authentication;
- Supabase — for data storage infrastructure; and
- Upstash — for response caching.
Each Third-Party Provider is subject to its own privacy policy and, where applicable, data processing arrangements.
5.3 AI Limitations
- AI-Generated Content may contain errors, omissions, or inaccuracies.
- We do not warrant or guarantee the accuracy, completeness, reliability, or fitness for purpose of any AI-Generated Content.
- Legislation and regulations may change, and you must independently verify the currency of all information.
- AI systems may occasionally generate responses that appear plausible but are incorrect.
5.4 Content Filtering
The Service uses automated content filtering to block requests relating to unlawful advice and to redirect off-topic queries. We reserve the right to suspend any Account that repeatedly attempts to bypass these safeguards.
6. Important Disclaimers
6.1 Not Legal Advice
THE SERVICE DOES NOT PROVIDE LEGAL, TAX, OR FINANCIAL ADVICE.
- Lawg is not a law firm, registered tax agent, or financial adviser.
- No solicitor-client, agent-client, fiduciary, or other professional advisory relationship is created by your use of the Service.
- AI-Generated Content is provided for informational purposes only and does not constitute professional advice of any kind.
- You must obtain advice from appropriately qualified professionals, including solicitors, registered tax agents, and financial advisers, before making decisions based on any information provided through the Service.
6.2 User Acknowledgment
By using the Service, you acknowledge and agree that:
- you are solely responsible for verifying any information provided by the Service;
- you will not rely on AI-Generated Content as a substitute for professional advice;
- complex tax and legal matters require advice from appropriately licensed or qualified professionals; and
- any decision made or action taken based on information obtained through the Service is at your sole risk.
To the maximum extent permitted by law, you waive any claim against the Company for malpractice, breach of professional duty, or reliance on the Service as though it were professional advice.
6.3 Information Sources
Legal Information made available through the Service is derived from publicly available Australian legislation, regulations, tax rulings, and case law sourced from official government and regulatory publications. We do not warrant that those source materials are complete, current, or free from error.
7. User Conduct and Prohibited Uses
7.1 Acceptable Use
You must use the Service only for lawful purposes and in compliance with these Terms and all Applicable Laws.
7.2 Usage Limits
The following usage limits apply:
- Free users: 1 query per day; and
- Authenticated or paid users: usage in accordance with their applicable plan, subject to fair use.
Free users may be identified by IP address, browser session, account credentials, or other reasonable technical means for the purpose of enforcing these limits. We reserve the right to modify these limits at any time.
7.3 Prohibited Activities
You must not:
- use the Service for any illegal or unauthorised purpose;
- seek advice relating to illegal activities, including tax evasion, fraud, or money laundering;
- attempt to circumvent usage limits or security controls;
- submit Prohibited Data to the Service;
- attempt to reverse engineer, decompile, or extract source code from the Service;
- use the Service to develop a competing product or service;
- interfere with or disrupt the Service or related infrastructure;
- upload viruses, malware, or other malicious code;
- impersonate any person or entity;
- use the Service in a way that breaches Applicable Laws; or
- scrape, data mine, or use automated means to access the Service without authorisation.
7.4 Consequences of Violation
A breach of this Section may result in immediate suspension or termination of your Account. We also reserve all rights to pursue any available legal remedy.
8. Privacy and Data
8.1 Privacy Policy
Our collection, use, storage, and disclosure of Personal Data is governed by our Privacy Policy, incorporated into these Terms by reference.
8.2 Data Processing
- We process only the queries and data that you submit in order to provide the Service.
- We do not access your complete databases or file systems.
- Your queries may be transmitted to Third-Party Providers only as necessary to provide the Service.
8.3 Data Retention
- Chat History is stored in our database and retained unless and until you delete your sessions.
- You may delete individual sessions or your entire Account at any time.
- Temporary processing data, such as intermediate query results, may be held in short-term cache and is automatically purged within 24 hours.
- Following deletion of your Account, your Personal Data will be removed within 30 days, subject to any legal or operational retention requirements.
- Anonymised usage data may be retained for service improvement and analytics.
8.4 Prohibited Data
You must not submit Prohibited Data to the Service. We are not liable for any consequence arising from your submission of Prohibited Data.
8.5 Analytics and Cookies
We use analytics services, including Google Analytics and Microsoft Clarity, to understand how visitors use our website and to improve the Service. By using our website:
- you acknowledge that anonymised usage data may be collected for analytics purposes;
- you may manage your cookie preferences through our cookie consent banner; and
- declining analytics cookies will not prevent you from using the Service.

9. Intellectual Property
9.1 Company Intellectual Property
All text, graphics, software, features, functionality, and other content forming part of the Service are owned by the Company or its licensors and are protected by applicable intellectual property laws. All rights not expressly granted are reserved.
9.2 Legal Content Sources
Legal Information is derived from publicly available materials, including:
- the Federal Register of Legislation;
- the Australian Taxation Office;
- the Australian Securities and Investments Commission; and
- state and territory legislation databases.
9.3 User Content
You retain ownership of any User Content submitted by you. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, process, store, and transmit that content solely to the extent necessary to provide and maintain the Service. We do not use User Content to train AI models without your consent.
9.4 AI-Generated Content
Subject to these Terms, you may use AI-Generated Content for your personal use or internal business reference. You must not represent AI-Generated Content as legal, tax, financial, or other professional advice.
9.5 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction and without any obligation to compensate you.
10. Third-Party Integrations
The Service may integrate with third-party applications or services. If you connect a third-party account:
- you authorise us to access the data from that service that is reasonably necessary to provide the requested functionality;
- your use of that third-party service remains subject to its own terms and privacy policy;
- you may disconnect the integration through your Account settings at any time; and
- we will access only the data reasonably required to provide the relevant functionality.
11. Service Availability and Modifications
11.1 Service Availability
- We aim to maintain a high level of availability but do not guarantee uninterrupted or error-free access to the Service.
- The Service may become temporarily unavailable due to maintenance, upgrades, outages, or technical issues.
- To the maximum extent permitted by law, we are not liable for any loss arising from service interruptions.
11.2 Service Modifications
We may modify, update, suspend, or discontinue any part of the Service at any time. Where a material change is likely to affect your use of the Service, we will provide reasonable notice.
12. Limitation of Liability
12.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OR REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.
12.2 Exclusion of Consequential Loss
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE LOSS OR DAMAGE, INCLUDING:
- loss of profit, revenue, opportunity, goodwill, or business;
- loss of data;
- legal costs, penalties, or liabilities arising from reliance on the Service; or
- loss arising from decisions made based on AI-Generated Content.
12.3 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; AND (B) AUD $100.
12.4 Non-Excludable Rights
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot lawfully be excluded, restricted, or modified under Applicable Laws, including the Australian Consumer Law.
13. Indemnity
You indemnify and must keep indemnified the Company and its officers, directors, employees, contractors, and agents against any claim, liability, loss, damage, cost, or expense, including reasonable legal costs, arising out of or in connection with:
- your use of the Service;
- your User Content;
- your breach of these Terms;
- your breach of Applicable Laws; or
- your reliance on AI-Generated Content as though it were professional advice.
14. Termination
14.1 Termination by You
You may terminate your Account at any time by deleting it through the Service settings or by contacting us.
14.2 Termination by Us
We may suspend or terminate your Account immediately if:
- you breach these Terms;
- your Account remains inactive for 12 consecutive months;
- we reasonably believe your Account is being used for fraudulent or unlawful purposes;
- we are required to do so by law or a government authority; or
- the Service is discontinued.
14.3 Effect of Termination
On termination:
- your right to access and use the Service ceases immediately;
- your Chat History and User Content may be deleted in accordance with Section 8.3; and
- any provision which by its nature is intended to survive termination will continue in force, including those relating to disclaimers, liability, indemnity, governing law, and dispute resolution.
14.4 Survival
Without limiting Section 14.3, Sections 1, 6, 9, 12, 13, 15, and 16 survive termination or expiry of these Terms.
15. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and any court competent to hear an appeal from those courts.
16. Dispute Resolution
16.1 Informal Resolution
Before commencing formal proceedings, you agree to contact us at support@coeusx.ai to attempt to resolve any dispute informally. We will endeavour to respond within 14 business days.
16.2 Mediation
If the dispute is not resolved within 30 days after the initial notice, either party may refer the dispute to mediation administered by the Resolution Institute in accordance with its Mediation Rules.
16.3 Arbitration
If mediation does not resolve the dispute, the dispute must be resolved by binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA). The arbitration will take place in Sydney, New South Wales.
16.4 Exceptions
Nothing in this Section prevents either party from seeking urgent interlocutory, injunctive, or other equitable relief from a court of competent jurisdiction.

Notices from us to you may be sent to the email address associated with your Account. You consent to receiving notices electronically.

18. General
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the Service and supersede all prior discussions or understandings relating to it.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
18.3 Waiver
A failure or delay by us in exercising any right under these Terms does not operate as a waiver of that right.
18.4 Assignment
You must not assign, transfer, or otherwise deal with your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.
18.5 Force Majeure
We are not liable for any delay or failure to perform our obligations to the extent caused by events or circumstances beyond our reasonable control.
