1. Definitions
In these Terms, the following definitions apply:
- "Account" means a user account registered with the Service.
- "AI-Generated Content" means any text, analysis, or response produced by the Service's artificial intelligence systems.
- "Applicable Laws" means all laws, regulations, and rules applicable to the relevant party, including the Australian Consumer Law.
- "Chat History" means the record of your queries and AI-Generated Content stored within your Account.
- "Chrome Extension" means the Lawg browser extension available through the Chrome Web Store.
- "Company" means CoeusX Pty Ltd (ABN 19 689 184 361).
- "Legal Information" means information about Australian law, regulations, and tax matters provided through the Service, which is expressly not legal advice.
- "Personal Data" has the meaning given under the Privacy Act 1988 (Cth).
- "Prohibited Data" means (a) protected health information; (b) financial account numbers; (c) Tax File Numbers; (d) other sensitive personal information as defined in the Privacy Act 1988 (Cth).
- "Service" means the Lawg web-based legal information platform, the Chrome Extension, and all related features.
- "Third-Party Providers" means external service providers whose technology is integrated into the Service, including AI model providers, authentication services, and data infrastructure providers.
- "User Content" means queries, documents, or other data you submit to the Service.
2. Acceptance of Terms
These Terms of Service govern access to and use of the Lawg web-based legal information service (the "Service") operated by CoeusX Pty Ltd (ABN 19 689 184 361) ("Company", "we", "us" or "our").
By accessing or using the Service, you ("User", "you", "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not access or use the Service.
We may update these Terms from time to time. When we do, we will post the revised version with an updated "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. Material changes will be notified via email or through the Service.
3. Eligibility and User Accounts
3.1 Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.
3.2 Account Registration
- Account creation is available through OAuth providers (Google, Microsoft) or email registration, powered by our authentication partner Clerk.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities that occur under your Account.
- You must notify us immediately of any unauthorized access to your Account.
3.3 Account Restrictions
- You may not create multiple accounts or share your credentials with others.
- You may not transfer or assign your Account without our written consent.
- We may suspend or terminate Accounts that violate these Terms.
4. Service Description
4.1 Nature of Service
Lawg provides AI legal information and research assistance services focusing on Australian law, including but not limited to:
- Foreign investment regulations (FIRB)
- Taxation law (income tax, GST, FBT, superannuation)
- Corporate law (Corporations Act 2001)
- Tax rulings and determinations (TR, TD, LCR, SMSFR)
4.2 Chrome Extension
The Lawg Chrome Extension allows you to access Lawg's capabilities directly from your browser. With the Extension, you can:
- Highlight text on any webpage to receive AI-generated questions and answers related to Australian tax and legal matters
- Access Lawg without navigating away from your current page
The Extension is subject to the same disclaimers and limitations as the main Service. By installing the Extension, you accept these Terms.
4.3 License Grant
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for your personal or internal business purposes, subject to these Terms.
4.4 Geographic Scope
The Service provides information specific to Australian legal frameworks. Information may not be applicable to other jurisdictions.
4.5 Beta Disclaimer
Lawg is currently made available as a beta version. The beta release is provided for evaluation, testing, and feedback purposes only.
During the beta period, Lawg may contain errors, omissions, or incomplete information. Functionality, coverage, accuracy, and availability may change without notice. CoeusX does not warrant that Lawg will be uninterrupted, error-free, complete, or suitable for any particular purpose during the beta period.
Lawg is not a legal, tax, financial, or compliance advice service. Information generated by Lawg is of a general nature and is intended to support professional research and understanding only. It does not take into account specific circumstances and must not be relied upon as a substitute for independent professional judgment or advice.
Users remain solely responsible for:
- Verifying all outputs against original source materials
- Assessing the relevance, accuracy, and applicability of information
- Complying with all applicable professional, ethical, and regulatory obligations
CoeusX accepts no responsibility or liability for any loss, damage, cost, or consequence arising from the use of Lawg during the beta period, including reliance on information generated by the system.
Access to the beta may be suspended, limited, or terminated at any time. CoeusX may modify, withdraw, or replace features without prior notice.
By accessing or using Lawg during the beta period, users acknowledge and accept these limitations and risks.
5. Artificial Intelligence and Third-Party Services
5.1 AI Technology
Our Service uses advanced large language models and related AI technologies to generate responses. The specific AI models may be updated from time to time to improve service quality.
5.2 Third-Party Service Providers
The Service utilizes trusted third-party providers for various functions. Your data may be transmitted to these providers solely for delivering the Service:
- OpenAI — AI model inference and text embeddings
- Pinecone — Vector database for document retrieval
- Cohere — Search result optimization
- Clerk — User authentication
- Supabase — Data storage infrastructure
Each provider is bound by their respective data processing agreements and privacy policies.
5.3 AI Limitations
- AI-Generated Content may contain errors, omissions, or inaccuracies.
- We do not guarantee the accuracy, completeness, or reliability of AI-Generated Content.
- Legislation and regulations are subject to change; always verify currency of information.
- AI systems may occasionally produce responses that are plausible-sounding but incorrect.
5.4 Content Filtering
The Service employs automated content filtering to block requests for illegal advice and redirect off-topic queries. We reserve the right to suspend Accounts that repeatedly attempt to circumvent these safeguards.

THE SERVICE DOES NOT PROVIDE LEGAL, TAX, OR FINANCIAL ADVICE.
- Lawg is NOT a law firm, tax agent, or financial advisor.

- AI-Generated Content is for informational purposes only and does not constitute professional advice of any kind.
- You must consult qualified professionals (solicitors, registered tax agents, financial advisors) before making decisions based on information from the Service.
6.2 User Acknowledgement and Waiver
By using the Service, you acknowledge and agree that:
- You are solely responsible for verifying any information provided by the Service.
- You will not rely on AI-Generated Content as a substitute for professional advice.
- Complex tax and legal matters require consultation with licensed professionals.
- Any decisions made based on information from the Service are your sole responsibility.
To the fullest extent permitted by law, you waive any claim against the Company for malpractice, breach of professional duty, or reliance on the Service as professional advice.
6.3 Information Sources
Legal Information provided through the Service is derived from publicly available Australian legislation, regulations, tax rulings, and case law from official government sources. We do not guarantee the completeness or currency of source materials.
7. User Conduct and Prohibited Uses
7.1 Acceptable Use
You agree to use the Service only for lawful purposes in accordance with these Terms and all Applicable Laws.
7.2 Usage Limits
The following usage limits apply:
- Anonymous users: 5 queries per day
- Authenticated users: Unlimited queries (subject to fair use)
Anonymous users are identified by IP address for rate limiting purposes only. We reserve the right to modify these limits at any time.
7.3 Prohibited Activities
You must not:
- Use the Service for any illegal or unauthorized purpose
- Seek advice on illegal activities (tax evasion, fraud, money laundering)
- Attempt to circumvent usage limits or security measures
- Submit Prohibited Data to the Service
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use the Service to develop a competing product or service
- Interfere with or disrupt the Service or associated infrastructure
- Upload viruses, malware, or other malicious code
- Impersonate any person or entity
- Use the Service in any manner that violates Applicable Laws
- Scrape, data mine, or use automated systems to access the Service without authorization
7.4 Consequences of Violation
Violation of these restrictions may result in immediate suspension or termination of your Account. We reserve the right to pursue legal remedies for violations.
8. Privacy and Data
8.1 Privacy Policy
Our collection, use, and disclosure of Personal Data is governed by our Privacy Policy, incorporated into these Terms by reference.
8.2 Data Processing
- We process only the queries and data you submit to provide the Service.
- We do not access your complete databases or file systems.
- Your queries are transmitted to Third-Party Providers solely for service delivery.
8.3 Data Retention
- Chat History is retained unless you delete your sessions.
- You may delete individual sessions or your entire Account at any time.
- Cached responses are automatically purged after 15 minutes.
- Upon Account deletion, your Personal Data will be removed within 30 days.
- Anonymized usage data may be retained for service improvement.
8.4 Prohibited Data
You must not submit Prohibited Data to the Service. We are not liable for any consequences arising from your submission of Prohibited Data.
8.5 Analytics and Cookies
We use analytics services (Google Analytics, Microsoft Clarity) to understand how visitors use our website and to improve our services. By using our website:
- You acknowledge that we collect anonymized usage data for analytics purposes

- You may disconnect integrations at any time through your Account settings.

- The Service may be temporarily unavailable due to maintenance or technical issues.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business
- Loss of data
- Legal costs or penalties arising from reliance on the Service
- Decisions made based on AI-Generated Content
12.3 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) AUD $100.
12.4 Exceptions
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Applicable Laws, including the Australian Consumer Law.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of Applicable Laws
- Your reliance on AI-Generated Content as professional advice
14. Termination
14.1 Termination by You
You may terminate your Account at any time by deleting your Account through the Service settings or by contacting us.
14.2 Termination by Us
We may suspend or terminate your Account if:
- You breach these Terms
- Your Account remains inactive for 12 consecutive months
- We reasonably believe your Account is being used for fraudulent purposes
- Required by law or government authority
- The Service is discontinued
14.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked immediately.
- Your Chat History and User Content will be deleted within 60 days upon request.
- Provisions relating to Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.
14.4 Survival
Sections 1 (Definitions), 6 (Important Disclaimers), 9 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 16 (Dispute Resolution) shall survive termination or expiration of these Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at support@coeusx.ai to attempt to resolve any dispute informally. We will endeavour to respond within 14 business days.
16.2 Mediation
If informal resolution is unsuccessful within 30 days, either party may refer the dispute to mediation administered by the Resolution Institute under its Mediation Rules.
16.3 Arbitration
If mediation is unsuccessful, disputes shall be resolved by binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA). The arbitration shall be conducted in Sydney, New South Wales.
16.4 Exceptions
Either party may seek injunctive or other equitable relief from any court of competent jurisdiction without first pursuing informal resolution, mediation, or arbitration.

Notices from us to you will be sent to the email address associated with your Account. You consent to receiving such notices electronically.

18. General Terms
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
18.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
